Announcement PDF RNS Number : 0445Q BSF Enterprise PLC 11 August 2026 11 August 2026 BSF Enterprise PLC ("BSF" or the "Company") Worldwide Exclusive Commercialisation of ETSYL® in Luxury Cosmetics & Skincare BSF Enterprise PLC (LSE: BSFA), the biotechnology company focused on developing tissue engineering, lab-grown materials, and bioactive solutions, is pleased to announce that it has executed Heads of Terms establishing a worldwide, exclusive commercialisation and supply partnership for its proprietary bioactive peptide, ETSYL® (INCI: palmitoyl pentapeptide-87), with SCHAKAU Managementberatung GmbH ("SCHAKAU"). Under the terms executed, key provisions including global market exclusivity, 100% intellectual property retention, and confidentiality are legally binding upon signature. SCHAKAU has been granted exclusive global commercialisation, distribution, and licensing rights for ETSYL® across the cosmetics, skincare, dermocosmetics, and luxury beauty sectors for an initial target-linked term of 10 years. Key Transaction Highlights: ● Exclusive 10-Year Global Term: SCHAKAU receives exclusive worldwide rights in cosmetics and luxury beauty for an initial 10-year period, strictly conditional upon achieving agreed annual commercial volume targets following an initial 12-month ramp-up period. ● Funded Commercialisation: SCHAKAU has allocated a dedicated market development budget estimated at €300,000 to fund clinical claim substantiation, regulatory compliance, brand creation, and international distribution capital. ● Downstream Expenses: SCHAKAU is solely responsible, at its own expense, for all finished consumer product notifications (including CPNP/SCPN portal filings), Cosmetic Product Safety Reports (CPSR), Responsible Person (RP) representations, and clinical efficacy testing. ● Direct Supply Revenue Stream & Expected Timing: BSF will supply compliant bioactive ETSYL® under a structured, dose-based volume schedule, securing commercial manufacturing margins for BSF's 100% subsidiary, 3D Bio-tissues Ltd. Initial raw material supply revenues are expected during the 12-month product compilation phase ahead of retail launch. ● 50:50 Third-Party Licensing Split: Net licensing income from third-party brand integrations will be split 50:50, after deducting external compliance and international patent prosecution and maintenance costs, directly protecting BSF's historical and ongoing patent investments. ● 100% IP Retention: BSF retains absolute ownership of all patents, trade secrets, manufacturing know-how, and underlying technology related to ETSYL®. Background on ETSYL®: Unlocking Portfolio Value in Cosmetics ETSYL® (palmitoyl pentapeptide-87) represents a high-value commercial derivative from BSF's core tissue engineering R&D program. Originally developed in-house by BSF's 100% subsidiary, 3D Bio-tissues Ltd, to accelerate cell growth and stimulate natural collagen synthesis within tissue scaffolding for lab-grown products, the bioactive peptide demonstrated high biological activity in extracellular matrix production. Recognising the growing global market demand for scientific, clinically backed bioactive peptides in high-end anti-ageing cosmetics, BSF identified ETSYL® as a high-margin commercial spin-off. By leveraging 3D Bio-tissues' proprietary bio- manufacturing workflows, BSF can produce ETSYL® at scale, serving as a raw bioactive supplier to the skincare market without diverting capital from its core tissue engineering and leather applications. Partner Profile: SCHAKAU & The HANDS OF GOD Ecosystem SCHAKAU Managementberatung GmbH, led by founder Nico Schakau, is a boutique commercialisation firm specialising in brand scaling, luxury positioning, and high-value industrial partnerships. SCHAKAU leads market development, brand creation, and global commercialisation within the luxury beauty and dermocosmetics space. SCHAKAU is deploying ETSYL® as the core active ingredient in its flagship ultra-luxury skincare brand, HANDS OF GOD, featuring a high-potency skin serum ("E-L-Y-S-Y-L"). Under the partnership, SCHAKAU will drive both direct consumer product deployment via HANDS OF GOD and broader B2B ingredient licensing to global cosmetic brand partners. Executive Commentary Che Connon, Chief Executive Officer of BSF Enterprise PLC, commented: "ETSYL® is a prime example of the deep value embedded across BSF's biotechnology portfolio. Originally engineered by our team at 3D Bio-tissues to boost natural collagen generation for our lab-grown tissue structures, its ability to stimulate skin cell matrix production made its application in luxury skincare an excellent added commercial bonus. By partnering with Nico and the team at SCHAKAU, we have established a capital-light, highly scalable model. SCHAKAU is funding downstream clinical, regulatory, and brand launch costs, allowing BSF to capture manufacturing supply revenues and 50% of global licensing income, while retaining 100% ownership of our core patent stack. This transaction validates our strategy of converting platform science into non-dilutive commercial cash flows." Nico Schakau, Managing Director of SCHAKAU Managementberatung GmbH, added: "We are delighted to enter into this long-term global partnership with BSF Enterprise PLC. We firmly believe in the long-term and sustainable growth of the longevity sector, and that the next generation of luxury skincare will be defined not simply by branding, but by science, measurable efficacy and truly differentiated bioactive technologies. ETSYL® embodies precisely that ambition. Beginning with HANDS OF GOD, we intend to establish ETSYL® as a globally recognised ingredient hallmark for advanced bioactive skincare and to build an international commercial ecosystem around the technology over the coming decade. Our ambition is simple: turn exceptional science into a global icon. Summary of Key Commercial Terms Feature Terms Scope Worldwide exclusive rights in cosmetics, skincare, and luxury beauty.
